These Terms of Service (the “Terms”) govern your access to and use of www.davidsmithhouston.com and any related webpages, property-search features, forms, communications, and content (collectively, the “Site”). The Site is operated by NoLimit Hldgs, LLC d/b/a Blok & Blvd. Realty Group, with Compass (Compass RE Texas, LLC), through David Smith, a Texas-licensed Broker Associate, license number TREC 524643-B, associated with Compass RE Texas, LLC, license number 9006927-BB (collectively, “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Texas-only real estate services

The Site is intended to provide information about residential real estate and related brokerage services in Texas. We do not offer or agree through the Site to provide brokerage services in any state other than Texas.

Your use of the Site does not create a broker-client, agent-client, fiduciary, advisory, or other professional relationship. A brokerage relationship is created only through a separate written representation agreement signed by you and the applicable broker or as otherwise provided by Texas law. Submitting a form, requesting information, scheduling a consultation, or communicating with us does not by itself create such a relationship.

If you are already represented by another real estate professional, please direct questions about a property or transaction to that professional. Do not provide confidential information through the Site unless and until an appropriate representation relationship has been established.

2. Informational purposes; no professional advice

Content on the Site is provided for general informational and marketing purposes only. It is not legal, tax, financial, lending, insurance, appraisal, engineering, inspection, environmental, or other professional advice. You should consult appropriately qualified professionals regarding your circumstances.

Nothing on the Site is an offer, promise, guarantee, or commitment to enter into a real estate transaction, provide financing, or achieve a particular price, timeline, investment result, or other outcome.

3. Property listings and market information

Property listings, photographs, measurements, school information, maps, market statistics, pricing, availability, and other real estate information may be supplied by multiple listing services, brokers, sellers, public records, vendors, or other third parties. Such information may be incomplete, inaccurate, delayed, changed, or withdrawn without notice. We do not guarantee its accuracy, completeness, or current status.

You are responsible for independently verifying all information that matters to your decision, including property condition, dimensions, boundaries, taxes, schools, utilities, zoning, permits, insurance availability, flood risk, environmental conditions, homeowners’ association information, and eligibility for any intended use. A listing displayed on the Site does not necessarily mean that we or our brokerage represent the seller, landlord, buyer, or tenant.

Listing content is provided for consumers’ personal, noncommercial use and may be subject to the rules and licenses of the applicable multiple listing service (“MLS”). You may not scrape, copy, republish, redistribute, sell, or commercially exploit listing data or use it to build a database, mailing list, or competing service.

4. Fair housing and equal service

We support equal housing opportunity and provide services in accordance with applicable federal, Texas, and local fair-housing and anti-discrimination laws. You may not use the Site to submit or communicate any unlawful discriminatory preference, limitation, or request.

5. Eligibility and acceptable use

You must be at least 18 years old and legally able to enter into these Terms. You agree to use the Site only for lawful purposes. You may not:

interfere with the operation or security of the Site;

introduce malware or other harmful code;

attempt to gain unauthorized access to the Site or related systems;

use automated tools to scrape, crawl, harvest, or extract Site content or data, except as permitted by us in writing or by applicable law;

use Site content to train, test, or develop an artificial-intelligence or machine-learning system without our written permission;

impersonate another person or submit false, misleading, or fraudulent information;

infringe intellectual-property, privacy, publicity, contractual, or other rights; or

use the Site in a way that violates law, MLS rules, or these Terms.

We may restrict or terminate access to the Site if we reasonably believe these Terms have been violated or access creates risk to the Site, us, or others.

6. Communications

If you submit your contact information, you authorize us and Compass RE Texas, LLC to respond to your request using the contact method you provided. Consent to receive marketing communications is not a condition of purchasing goods or services.

Where you separately and expressly opt in to marketing emails or text messages, you may withdraw consent at any time by following the unsubscribe instructions in an email, replying STOP to a text message, or contacting us at davidsmith@compass.com. Message and data rates may apply. Consent is not retroactive, and we may still send nonmarketing communications permitted by law, such as direct responses to your requests.

Do not send sensitive personal information, financial account details, wire instructions, or Social Security numbers through an ordinary Site form, email, or text message. Real estate wire fraud is a serious risk. Independently verify all wiring instructions through a known and trusted telephone number before sending funds.

7. Intellectual property

The Site and its original content, design, text, graphics, logos, and other materials are owned by or licensed to us and are protected by applicable intellectual-property laws. Subject to these Terms, you may view and use the Site for your personal, noncommercial real estate search. No other license is granted.

Third-party names, logos, listing data, photographs, and other materials remain the property of their respective owners. You may not remove copyright, trademark, attribution, or proprietary notices.

8. Feedback and submitted materials

If you voluntarily send us comments, suggestions, reviews, photographs, or other materials, you represent that you have the right to do so and that the materials do not violate any law or third-party right. You grant us a nonexclusive, worldwide, royalty-free license to use, reproduce, and display those materials solely to respond to your request, provide services you request, operate the Site, or for any additional purpose to which you separately agree.

9. Third-party services and links

The Site may link to or use services provided by third parties, including MLS providers, map providers, mortgage calculators, scheduling tools, social networks, analytics providers, and other websites. We do not control and are not responsible for third-party services, content, security, availability, or privacy practices. Your use of a third-party service is governed by that provider’s terms and policies.

Any mortgage calculator, estimated payment, valuation, or similar tool is illustrative only and is not a loan estimate, appraisal, or offer of credit. Actual terms and amounts may differ.

10. Privacy

Our collection and use of personal information are described in our [Privacy Policy](https://www.davidsmithhouston.com/privacy-policy/). The Privacy Policy is separate from these Terms and should accurately describe the Site’s forms, cookies, analytics, advertising tools, vendors, data-sharing practices, retention practices, and user choices.

Mobile and text-messaging information

We will not share mobile information with third parties or affiliates for their marketing or promotional purposes. Text-messaging originator opt-in data and consent are excluded from all other data-sharing categories and will not be shared with any third parties. This restriction does not prohibit disclosures to service providers that support delivery of our text messages when those providers are prohibited from using the information for their own marketing or promotional purposes, or disclosures required by law.

11. Site availability and changes

We may change, suspend, or discontinue any part of the Site at any time. We do not promise that the Site will always be available, uninterrupted, secure, or error-free, or that defects will be corrected. We may update these Terms by posting a revised version and changing the “Last updated” date. Changes apply prospectively when posted unless a later date is stated or applicable law requires additional notice.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded. Some jurisdictions do not permit certain warranty exclusions, so parts of this section may not apply to you.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NoLimit Hldgs, LLC d/b/a Blok & Blvd. Realty Group, with Compass (Compass RE Texas, LLC), DAVID SMITH, COMPASS RE TEXAS, LLC, AND THEIR RESPECTIVE OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE FOREGOING PARTIES FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID, IF ANY, SPECIFICALLY TO USE THE SITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

These limitations do not apply to liability that cannot be limited or excluded under applicable law, and they do not modify duties arising under a separate written brokerage agreement.

14. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless NoLimit Hldgs, LLC d/b/a Blok & Blvd. Realty Group, with Compass (Compass RE Texas, LLC), David Smith, Compass RE Texas, LLC, and their respective owners, officers, employees, contractors, and representatives from claims, damages, liabilities, judgments, losses, and reasonable costs and attorneys’ fees arising out of your unlawful use of the Site, your material violation of these Terms, or materials you submit through the Site. This section does not require you to indemnify any person for that person’s own negligence, gross negligence, willful misconduct, or violation of law to the extent such indemnification is prohibited by law.

15. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Subject to any mandatory law, any lawsuit arising from or relating to the Site or these Terms must be brought exclusively in the state courts located in Harris County, Texas, or the federal court with jurisdiction over Harris County, Texas. You and we consent to personal jurisdiction and venue in those courts.

16. Miscellaneous

These Terms and the documents expressly incorporated by reference constitute the entire agreement between you and us regarding use of the Site, but they do not replace or modify any separate written representation, listing, buyer-representation, or other brokerage agreement. If there is a conflict, the separately signed agreement controls with respect to its subject matter.

If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a transfer of the Site or our business, subject to applicable law.
